Novem End User License Agreement
This End User License Agreement governs your use of the Novem platform, including our mobile applications, and sets out the standards of conduct expected of all users.

This End User License Agreement (“EULA” or “Agreement”) is a legally binding agreement between you (“you” or “User”) and Novem AS (“Novem,” “we,” “us,” or “our”), a company registered in Norway at Gaustadalléen 21, Oslo 0349, Norway (VAT number 932 570 556).
This EULA governs your access to and use of the Novem platform, including the website at https://novem.io, our mobile applications (the “App”), desktop applications, APIs, and all related services (collectively, the “Services”). By downloading, installing, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by this EULA.

This EULA supplements and should be read together with our Terms and Conditions and Privacy Policy. In the event of a conflict between this EULA and the Terms and Conditions, the Terms and Conditions shall prevail unless this EULA explicitly states otherwise with respect to the specific matter.

1. LICENSE GRANT
Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Download, install, and use the App on devices that you own or control, solely for your personal or internal business purposes;
- Access and use the Services, including creating, viewing, and sharing data visualizations, charts, reports, dashboards, and other content through the platform; and
- Use the Novem APIs in accordance with our API documentation and usage guidelines.
This license does not allow you to:
- Distribute, sublicense, lease, rent, lend, or otherwise transfer the App or any rights therein to any third party;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except as expressly permitted by applicable law;
- Modify, adapt, or create derivative works based on the App or Services;
- Remove, alter, or obscure any proprietary notices, labels, or marks on the App or Services; or
- Use the App or Services for any unlawful purpose or in any way that violates this EULA.
2. ACCOUNT REGISTRATION AND ELIGIBILITY
To use certain features of the Services, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information;
- Maintain and promptly update your account information;
- Keep your login credentials confidential and secure;
- Accept responsibility for all activities that occur under your account; and
- Notify us immediately of any unauthorized use of your account.
Age Requirement. You must be at least 18 years of age to use the Services. If you are under 18, you may not create an account or use the Services. We do not knowingly collect personal information from individuals under 18.
Professional Use. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to this EULA, and the terms “you” and “User” shall refer to both you individually and the organization.
3. USER-GENERATED CONTENT
The Services allow you to create, upload, publish, share, and distribute content, including but not limited to data visualizations, charts, plots, graphs, reports, dashboards, annotations, comments, and textual descriptions (collectively, “User Content”).
Ownership. You retain ownership of your User Content. By making User Content available through the Services, you grant Novem a worldwide, non-exclusive, royalty-free license to host, store, cache, reproduce, display, and distribute your User Content solely to the extent necessary to operate and provide the Services. This license terminates when you delete your User Content or your account, except where your User Content has been shared with others and they have not deleted it, or where retention is required by law.
Responsibility. You are solely responsible for your User Content. You represent and warrant that:
- You own or have obtained all necessary rights, licenses, and permissions to use and authorize the use of your User Content;
- Your User Content does not infringe, misappropriate, or violate any third party’s intellectual property rights, privacy rights, or other legal rights;
- Your User Content complies with this EULA, our Terms and Conditions, and all applicable laws and regulations; and
- Your User Content does not contain any objectionable, harmful, or illegal material as described in Section 5 of this EULA.
Visibility. The Services support both private and public content. You are responsible for managing the visibility settings of your User Content. Content designated as “public” may be viewed by any user of the Services and may be indexed by search engines. Content shared with specific groups or individuals is accessible only to those parties, subject to our technical safeguards.
Data Sensitivity. Given the nature of data visualization, you acknowledge that User Content may contain or be derived from sensitive data. You are solely responsible for ensuring that any data you upload or visualize through the Services complies with all applicable data protection, financial regulation, and confidentiality obligations. Do not upload or visualize data that you are not authorized to share.
4. ACCEPTABLE USE AND CONDUCT
You agree to use the Services in a responsible and lawful manner. When using the Services, you shall not:
- Violate any applicable local, national, or international law or regulation;
- Upload, post, or transmit any content that is unlawful, fraudulent, deceptive, or misleading;
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
- Harass, bully, intimidate, stalk, or threaten any other user;
- Collect or harvest personal information of other users without their express consent;
- Interfere with or disrupt the Services, servers, or networks connected to the Services;
- Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks;
- Use the Services to transmit any malware, viruses, or other harmful code;
- Use automated means (bots, scrapers, crawlers) to access the Services except through our published APIs in accordance with our usage guidelines;
- Engage in any activity that could disable, overburden, or impair the proper functioning of the Services; or
- Encourage or facilitate any of the foregoing activities by any third party.
5. ZERO TOLERANCE FOR OBJECTIONABLE CONTENT
Novem maintains a zero tolerance policy for objectionable content and abusive behavior. You expressly agree that you will not use the Services to create, upload, publish, share, or distribute any content that:
- Is sexually explicit, pornographic, or depicts sexual exploitation;
- Promotes or glorifies violence, terrorism, or extremism;
- Contains hate speech, or promotes discrimination, hostility, or violence against individuals or groups based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, age, or any other protected characteristic;
- Is defamatory, libelous, slanderous, or intentionally false and damaging;
- Exploits, harms, or endangers minors in any way, including child sexual abuse material (CSAM);
- Promotes or facilitates illegal activities, including but not limited to fraud, money laundering, market manipulation, insider trading, or other financial crimes;
- Constitutes spam, unsolicited advertising, or unauthorized promotional material;
- Contains personal or confidential information of third parties disclosed without authorization (doxxing);
- Depicts or promotes self-harm, suicide, or dangerous activities;
- Is intended to deceive, manipulate, or mislead others through falsified data, fabricated statistics, or deliberately misleading visualizations; or
- Is otherwise objectionable, offensive, or harmful as determined by Novem in its sole discretion.
This list is not exhaustive. Novem reserves the right to determine, in its sole discretion, what constitutes objectionable content. We will enforce this policy consistently and without exception.
6. CONTENT MODERATION AND REPORTING
Novem employs a combination of automated systems and human review to monitor and moderate User Content on the platform. We reserve the right, but are not obligated, to:
- Review, screen, and monitor User Content at any time and for any reason;
- Remove or disable access to any User Content that violates this EULA, without prior notice;
- Investigate violations of this EULA and take appropriate action; and
- Cooperate with law enforcement authorities when required by law or when we believe in good faith that such cooperation is necessary to prevent imminent harm.
Reporting Objectionable Content. If you encounter any content or behavior on the Services that you believe violates this EULA or is otherwise objectionable, you can report it by:
- Using the in-app reporting feature available on all content;
- Emailing us at abuse@novem.io with a description of the content and, if possible, a link to it; or
- Contacting us through any of the methods listed in the Contact Us section below.
We take all reports seriously and will review them promptly. We will take appropriate action, which may include removing content, warning the offending user, suspending or terminating accounts, and reporting to law enforcement where applicable.
Blocking and Filtering. Users have the ability to block other users and filter content within the Services. We encourage users to make use of these features to tailor their experience.
7. CONSEQUENCES OF VIOLATIONS
Violations of this EULA, particularly the provisions regarding objectionable content and acceptable use, may result in one or more of the following actions, at Novem’s sole discretion:
- A warning notice to the offending user;
- Temporary suspension of the user’s account;
- Permanent termination of the user’s account and removal of all associated User Content;
- Removal or disabling of specific User Content;
- Reporting to relevant law enforcement or regulatory authorities;
- Pursuit of legal remedies, including injunctive relief and damages; and
- Any other action we deem appropriate to protect the safety and integrity of the Services and our users.
Repeat Offenders. Repeat violations will result in escalating consequences, up to and including permanent account termination.
No Refunds. If your account is terminated due to a violation of this EULA, you are not entitled to any refund of fees paid.
Appeals. If you believe your account has been suspended or terminated in error, you may submit an appeal to appeals@novem.io. We will review appeals in a timely manner and notify you of our decision.
8. INTELLECTUAL PROPERTY
Novem Property. The Services, including all software, designs, text, graphics, logos, icons, images, audio clips, data compilations, and the compilation thereof, are the property of Novem or its licensors and are protected by copyright, trademark, and other intellectual property laws. Nothing in this EULA grants you any right, title, or interest in the Services except for the limited license expressly set forth herein.
Feedback. If you provide any suggestions, ideas, feedback, or recommendations regarding the Services (“Feedback”), you hereby assign to Novem all rights in such Feedback and agree that Novem may use and commercialize the Feedback without restriction or compensation to you.
Open Source. Certain components of the Services may be subject to open-source licenses. Nothing in this EULA limits your rights under, or grants you rights that supersede, any applicable open-source license.
9. DATA PRIVACY AND SECURITY
Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into this EULA by reference.
Data Security. While we implement industry-standard security measures to protect the Services and your data, no method of electronic transmission or storage is 100% secure. You acknowledge and accept the inherent risks of transmitting data over the internet.
Regulated Data. If you are subject to specific data protection or financial regulations (such as GDPR, CCPA, MiFID II, or similar), you are responsible for ensuring your use of the Services complies with those regulations. Novem does not provide legal, financial, or compliance advice.
10. THIRD-PARTY SERVICES AND APP STORES
App Store Terms. If you downloaded the App from a third-party app store (such as the Apple App Store or Google Play Store), you acknowledge and agree that:
- This EULA is between you and Novem only, and not with the app store provider;
- The app store provider has no obligation to furnish any maintenance or support services with respect to the App;
- In the event of any failure of the App to conform to any applicable warranty, you may notify the app store provider, and the app store provider may refund the purchase price for the App (if any). To the maximum extent permitted by applicable law, the app store provider will have no other warranty obligation whatsoever with respect to the App;
- The app store provider is not responsible for addressing any claims you or any third party may have relating to the App or your possession and/or use of the App;
- In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, Novem, not the app store provider, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim; and
- The app store provider and its subsidiaries are third-party beneficiaries of this EULA and, upon your acceptance, the app store provider will have the right to enforce this EULA against you as a third-party beneficiary thereof.
Apple-Specific Terms. If you downloaded the App from the Apple App Store, the following additional terms apply:
- The license granted to you is limited to a non-transferable license to use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions;
- Novem is solely responsible for providing any maintenance and support services with respect to the App, as specified in this EULA or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App; and
- Apple has no responsibility for any product warranties, whether express or implied by law. Novem is solely responsible for any claims relating to the App, including but not limited to product liability claims, any claim that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
Third-Party Integrations. The Services may integrate with or link to third-party services. Novem is not responsible for any third-party services, and your use of such services is subject to the terms and policies of those third parties.
11. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOVEM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
NOVEM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NOVEM DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT AVAILABLE THROUGH THE SERVICES, INCLUDING USER CONTENT.
YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.
12. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOVEM, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF NOVEM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOVEM’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO NOVEM IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED EUROS (€100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
13. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Novem, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Services;
- Your User Content;
- Your violation of this EULA;
- Your violation of any applicable law or regulation; or
- Your violation of any rights of a third party.
14. TERM AND TERMINATION
This EULA is effective from the date you first access or use the Services and continues until terminated.
Termination by You. You may terminate this EULA at any time by deleting your account and ceasing all use of the Services, including uninstalling the App.
Termination by Novem. We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of this EULA, violation of applicable laws, fraudulent or abusive behavior, extended periods of inactivity, or upon request by law enforcement or government agencies.
Effect of Termination. Upon termination:
- Your license to use the Services immediately ceases;
- You must stop using the Services and uninstall the App;
- We may delete your account and all associated User Content; and
- Sections of this EULA that by their nature should survive termination shall survive, including but not limited to Sections 5, 8, 11, 12, 13, 15, and 17.
15. GOVERNING LAW AND DISPUTE RESOLUTION
This EULA is governed by and construed in accordance with the laws of Norway, without regard to its conflict of laws principles, and the use of the United Nations Convention of Contracts for the International Sales of Goods is expressly excluded.
If your habitual residence is in the EU and you are a consumer, you additionally possess the protection provided by the mandatory provisions of the law of your country of residence.
Informal Resolution. Before initiating any formal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at contact@novem.io. We will attempt to resolve the dispute informally within thirty (30) days.
Jurisdiction. Any dispute that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Oslo, Norway, except where mandatory consumer protection laws require otherwise.
16. CHANGES TO THIS EULA
We may update this EULA from time to time to reflect changes in our practices, the Services, or applicable laws. When we make material changes, we will:
- Update the “Last updated” date at the top of this EULA;
- Notify you through the Services or by email; and
- Where required by law, obtain your consent before the changes take effect.
Your continued use of the Services after any changes to this EULA constitutes your acceptance of the updated terms.
17. GENERAL PROVISIONS
Entire Agreement. This EULA, together with the Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and Novem regarding the Services, and supersedes all prior and contemporaneous agreements.
Severability. If any provision of this EULA is found to be unlawful, void, or unenforceable, that provision shall be severed and shall not affect the validity and enforceability of the remaining provisions.
Waiver. No failure or delay by Novem in exercising any right or remedy under this EULA shall constitute a waiver of such right or remedy.
Assignment. You may not assign or transfer this EULA or any rights hereunder without our prior written consent. Novem may assign this EULA without restriction.
Force Majeure. Novem shall not be liable for any failure to perform its obligations under this EULA where such failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, wars, civil unrest, power failures, or internet disruptions.
Language. This EULA is drafted in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.
